These Terms & Conditions ("Terms") govern your use of ALPS ("we", "us", "our"), a service operated by MYALPS Limited.

By using ALPS, you agree to these Terms. Please read them carefully - they explain how the service works and what you can expect from us.

1. Service Overview

ALPS is a secure, cloud-based platform that helps you:

  • Upload, store and manage important documents
  • Organise files in a clear, structured way
  • Share documents with people you choose
  • Set reminders and notifications

We aim to provide a simple, reliable experience that keeps your information safe.

2. Eligibility

To use ALPS, you must:

  • Be at least 18 years old
  • If using ALPS for an organisation, have the authority to agree to these Terms on its behalf

3. Account Security

You are responsible for keeping your account secure. This includes:

  • Protecting your login details
  • Keeping your information accurate
  • Monitoring activity on your account

If you believe your account has been compromised, please contact us immediately.

4. Acceptable Use

To keep the platform safe for everyone, you agree not to:

  • Upload unlawful or infringing content
  • Attempt to access areas you're not authorised to use
  • Disrupt or interfere with the platform
  • Use the service for illegal or harmful purposes
  • Use the service in a way that harms it or other users

We may suspend or restrict access if these rules are broken.

5. Your Content

You always retain ownership of the documents you upload.

To run the service, you give us a limited licence to:

  • Store and host your files
  • Process them to provide features
  • Enable sharing and reminders
  • Perform backups and security checks

We do not access your documents unless:

  • It's required to provide the service
  • It's needed for security or technical reasons
  • We are legally required to do so

6. Sharing & Responsibility

ALPS allows you to create secure sharing connections with trusted contacts to share documents.

  • Sharing starts only after the other person accepts your invitation.
  • Either person can end a sharing connection at any time.
  • When a connection ends, future sharing stops and access to previously shared documents is also removed. Each party retains access to documents they own at all times.

We may send notifications about sharing activity, but delivery is not guaranteed.

You are responsible for who you share with and for managing your sharing connections.

7. Document Owners

Document owners remain in control of their documents and can change or remove access at any time. If a document owner removes access, anyone the document was shared with may lose access, including through existing sharing connections.

We may send notifications about access removal, but delivery is not guaranteed.

We are not responsible for how shared documents are used or for any loss of access resulting from changes to sharing permissions.

8. Service Availability

We work to keep the platform reliable and available, but we cannot guarantee:

  • Continuous uptime
  • A completely error-free experience

Maintenance or updates may occasionally be required. We are not responsible for issues caused by outages, maintenance, or third-party providers.

9. Fair Usage Policy

To ensure a fair and reliable service for all users, we apply monthly fair usage limits to our services. These limits reset automatically each month. If a user exceeds the applicable fair usage threshold, we may temporarily restrict access to some or all services until the next monthly reset or until the user upgrades to a plan with higher usage allowances.

10. Fees

ALPS includes paid features:

  • Pricing will be shown clearly before purchase
  • Payments are handled by trusted third-party providers
  • Fees are non-refundable unless required by law

11. Intellectual Property

Everything that makes the platform work - the design, technology, and infrastructure - belongs to us.

You may not:

  • Copy or reproduce the service
  • Modify or reverse engineer it
  • Distribute or resell it

This does not affect your ownership of your own documents.

12. Limitation of Liability

To the fullest extent permitted by law:

  • We are not responsible for indirect or consequential losses
  • We are not responsible for data loss, technical issues, or problems caused by third-party providers
  • Our total liability is limited to the fees you paid in the last 12 months (if applicable)
  • We are not liable for issues caused by your sharing choices or settings

Nothing in these Terms limits liability for fraud, or for death or personal injury caused by negligence.

13. Electronic Communications

You will receive emails, notifications, or other electronic communications from us as part of the service.

While we use reasonable security measures, electronic communications may be delayed, intercepted, corrupted, or contain harmful code. You are responsible for using appropriate safeguards, such as up-to-date antivirus software.

We are not responsible for any loss or damage resulting from electronic communications or files that are intercepted, altered, corrupted, delayed, or contain harmful code, except where required by law.

14. Ending Your Use of ALPS

You can stop using the service at any time.

We may suspend or terminate access if:

  • These Terms are breached
  • We are required to do so by law
  • There is a security risk

If your subscription ends or you ask for your account to be deleted, we may delete your data after a short retention period. Some backups may remain briefly for security reasons.

15. Governing Law

These Terms are governed by the laws of England and Wales.

16. Data Processing Addendum (DPA)

This section applies when we process personal data on your behalf under GDPR.

16.1 Roles

  • You act as the Data Controller
  • We act as the Data Processor

16.2 Purpose of Processing

We process personal data only to:

  • Provide document storage and sharing
  • Deliver reminders and notifications
  • Maintain security and performance

We do not use your data for advertising, profiling, AI modelling or selling to third parties.

16.3 Types of Data

We may process:

  • Identity data (name, email)
  • Account information
  • Uploaded documents (which may contain personal data)
  • Usage logs
  • Notification and reminder data

16.4 Sub-processors

We may use trusted third-party providers such as:

  • Cloud hosting services
  • Email and notification platforms

All sub-processors:

  • Are bound by GDPR-compliant agreements
  • Are primarily located in the UK

We will let you know if we make material changes to our sub-processors.

16.5 International Transfers

If data is transferred outside the UK/EU, we use approved safeguards:

  • UK IDTA
  • EU Standard Contractual Clauses
  • Adequacy decisions

16.6 Security Measures

We use strong security practices, including:

  • Encryption in transit and at rest
  • Access controls
  • Authentication systems
  • Monitoring and backups

16.7 Breach Notification

If we become aware of a data breach affecting your personal data, we will notify you without undue delay.

16.8 Support for Data Subject Rights

We will assist you in responding to GDPR requests, including:

  • Access
  • Correction
  • Deletion
  • Portability
  • Objection

16.9 Data Retention

We keep data only as long as needed to provide the service.

When your account ends:

  • Data is deleted or anonymised
  • Backups may be retained for a short period for security reasons

16.10 Audit & Compliance

We will provide reasonable information to help demonstrate GDPR compliance.

16.11 Updates

We may update this DPA if required by law or to reflect operational changes.

17. Business Users Addendum

This Addendum supplements the Terms & Conditions above. It applies only to Business Users. If there is any conflict between this Addendum and the Terms, this Addendum prevails for Business Users.

17.1 Business User Definition

A Business User is any person or entity accessing or using the Service on behalf of a company, organisation, partnership, charity, sole trader, or other commercial or professional entity.

Use of the Service for commercial, professional, or organisational purposes constitutes business use, regardless of the account type selected.

17.2 Business Plan Requirement

  • Business Users must subscribe to the Business Paid Tier.
  • Business use of the Personal/Free Plan is strictly prohibited.
  • Selecting "Business" during onboarding binds the user to this Addendum.

17.3 Personal/Free Plan

The Free Plan is available only to Personal Users acting for their own personal purposes.

Selecting "Personal" confirms that the user is not acting on behalf of a business.

Individuals referred or directed by a Business User remain Personal Users and may use the Free Plan. Their use of the Service does not create any commercial, contractual, or supplier relationship between the Company and the Business User.

17.4 30-Day Trial for Business Users

  • Business Users begin on the Business Paid Tier with a 30-day free trial.
  • Unless cancelled before the trial ends, the subscription will automatically convert to a paid plan.
  • Trial access may include usage limits or feature restrictions.

17.5 Subscription Fees & Billing

  • Fees for the Business Paid Tier are displayed at checkout.
  • Subscriptions renew automatically unless cancelled.
  • No refunds are provided for partial billing periods.

17.6 Automatic Enforcement

If the Company reasonably determines that an account on the Personal/Free Plan is being used for business purposes, the Company may:

  • Require the user to upgrade to the Business Paid Tier
  • Automatically upgrade the account
  • Suspend access until compliance
  • Terminate the account

The Company's determination of business use is final.

17.7 No Enterprise Obligations

The Service is provided on a self-serve basis only. The Company does not offer:

  • Service level agreements (SLAs)
  • Uptime guarantees
  • Customisation or bespoke development
  • Procurement form completion
  • Security questionnaires
  • Custom Data Processing Agreements (DPAs)
  • Negotiated contract terms
  • Dedicated account management

Use of the Service does not create a vendor–client, supplier, or partnership relationship between the Company and any Business User.

17.8 Support

Support for Business Users is limited to standard documentation and email support.

No priority support or guaranteed response times are provided.

17.9 Data Processing

  • This Addendum does not modify the Company's existing data protection terms, Privacy Policy, or Data Processing Agreement (if applicable).
  • Business Users remain responsible for complying with all controller obligations under UK GDPR.
  • The Company processes personal data strictly in accordance with its existing Terms and Privacy Policy.

17.10 Liability

For Business Users, the Company's total liability is limited to the total fees paid by the Business User in the preceding 12 months.

This clause supplements (and does not replace) the liability provisions in the main Terms.

17.11 Changes to This Addendum

The Company may update this Addendum from time to time.

Continued use of the Service constitutes acceptance of updated terms.

This Addendum cannot be modified or negotiated by any user.
